Official Rules for Europe’s Best® “Pick the Best & WIN*” Promotion (the “Contest”)

1. ELIGIBILITY: To enter and be eligible to win a Prize a person must be, at the time of registration or entry into the Contest: (a) an individual legal resident of Canada; (b) located in Canada; and (c) of the age of majority in his/her province or territory of residence. Employees, officers and directors (and immediate family members and members of the same household of such persons, including common law spouses) of Hain-Celestial Canada, Limited (the "Sponsor"), Hamilton Beach® Brands Canada Inc., their respective affiliates, agents, advertising or promotional agencies, suppliers of prizes and the independent contest organization are not eligible to enter the Contest.
   The Sponsor shall have the right at any time to require proof of identity and/or eligibility to participate in the Contest. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to the Sponsor for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. The Sponsor reserves the right, in its sole discretion to disqualify any entrant, should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information.
2. CONTEST PERIODS: The Contest commences at 9:00:00 AM (ET) on February 2, 2013 and will end at 4:59:59 PM (ET) on April 14, 2013 (the "Contest Period"). All entries must be received by 4:59:59 PM (ET) on April 14, 2013 (the "Contest Closing Date"). A day (a “Day”) is defined as each day during the Contest Period starting at 12:00:00 AM (ET) and ending at 11:59:59 PM (ET) except for the first day (February 2, 2013) where it starts at 9:00 AM (ET) and ends at 11:59:59 PM (ET) and the last day (April 14, 2013) where it closes at 4:59:59 PM (ET). An hour (a “Hour”) is defined as commencing on the hour: at 00 minutes and 00 seconds and ending on the same hour: at 59 minutes and 59 seconds (for example an Hour commences at 13:00:00 and ends at 13:59:59). The Contest computer system (the “Contest computer”) is used to govern all computer and time-related aspects of the Contest and, among other things, is the official time-keeping device for the Contest.
3. HOW TO ENTER THE CONTEST: To participate in this Contest, each time an entrant successfully completes the Europe’s Best® “Pick the Best & WIN*” game, the entrant is provided with one (1) entry for the Grand Prize draw and a chance to win an Hourly Instant Win Prize.
   1. Visit www.europesbest.ca (the “Website”);
   2. First Time visitors: Select “Register” and complete the registration form with your full name, complete mailing address including postal code, daytime telephone number, select your age range, select your gender, e-mail address, create and confirm a password and read and accept the Official Rules. Select the “opt in” box if you wish to receive future e-mail updates from the Sponsor and its affiliates; Select the “opt in” box if you wish to receive future e-mail updates from Hamilton Beach® and its affiliates; and select “Register” (Opt-ins to receive future information are optional and will not affect your chances of winning). Upon successfully creating an account you will receive one (1) entry for the Grand Prize draw.
   3. Returning visitors: Select “Sign In” and enter your e-mail address, password and select ‘Continue”;
   4. BONUS QUESTIONS: To receive one (1) Bonus Entry for the Grand Prize draw, select “Bonus Questions” below the “Play Now” button. Answer the three (3) demographic questions and select “Submit”. Upon receipt you will receive one (1) Bonus Entry into the Grand Prize draw. Limit one (1) Bonus Questions entry per person during the Contest Period.
   5. PLAY “PICK THE BEST & WIN*” GAME: The objective of the game is to match 6 pairs of Europe’s Best® cards (cards can be packages of Europe’s Best® fruit or vegetable; image of ballot box or an image of a Blender) within a starting time of 45 seconds (herein defined as “Game”). To play the Game, click on any two (2) Europe’s Best® cards within the grid (12 packages) to reveal images, repeat this process until you find six (6) matching images and/or your time has expired.
      1. Entrants who play the Game and find a matching pair of “Blenders” (herein defined as “Hourly Instant Win Prize”) within 45 seconds are eligible for a chance to win an Hourly Instant Win Prize (see Rule 7a for details of the Hourly Instant Win Prize). Upon successfully finding and matching a pair of Blenders within the Game time of 45 seconds, entrants will receive a “Congratulations! For matching a pair of Blenders”. To claim his/her Hourly Instant Win Prize we require that the entrant correctly answers the mathematical skill-testing question (found on the webpage) and select “Submit”. An entrant will have fifteen (15) minutes from the time the contest webpage has loaded to “Submit” his/her answer to the mathematical skill-testing question. If for any reason an entrant does not “Submit” an answer to the mathematical skill-testing question he/she will be disqualified without liability to the Sponsor.
         1. Upon receipt of the entrants answer to the mathematical skill-testing question, the answer will be verified and if deemed correct by the Contest computer, the entrant will receive the following message: “Congratulations! For matching a pair of blender cards, you have won* the Hourly Instant Prize, of a Hamilton Beach® Single Serve Blender. We will send you a confirmation email shortly.” Your Hourly Instant Win Prize will be sent to you by mail or courier within thirty (30) days.
         2. If the entrant’s answer to the mathematical skill-testing question is deemed incorrect by the Contest computer, the entrant will receive the following message: “Sorry!, You did not correctly answer the skill testing question, and are no longer eligible for the Hourly Instant Win Prize. Please try again” and the entrant is now disqualified from winning the eligible Hourly Instant Win Prize and the Hourly Instant Win Prize will no longer be awarded.
      2. Entrants who play the Game and successfully complete the game, as well as find and match a pair of “ballot boxes” (herein defined as “Extra Ballot”) within 45 seconds will receive one (1) additional Extra Ballot into the Grand Prize draw. Upon completion of a Game and successfully finding and matching a pair of ballot boxes within 45 seconds, entrants will receive a “Congratulations! For matching a pair of the ballot cards and beating the clock, you have earned two (2) ballots to increase your chances to WIN the grand prize” message.
      3. Entrants who complete the game within the time period and who do not find a matching pair of Blenders or ballot boxes will receive a “Congratulations for beating the clock you have earned one (1) ballot for your chances to WIN the Grand Prize” message.
      4. Entrants who do not complete the game within the starting time of 45 seconds will receive a “Sorry, you did not beat the clock so you have not earned a ballot towards the grand prize draw”.
4. LIMIT OF NUMBER OF ENTRIES: An entrant can only create one (1) account during the Contest Period. An entrant can enter once (1) per Hour per Day during the Contest Period. An entrant can only win one (1) Hourly Daily Instant Win Prize and one (1) Grand Prize during the Contest Period. A Person may only use one (1) first and last name, telephone number, complete mailing address, and one (1) e-mail address to participate in the Contest. Any person who is found to have entered the Contest with more than one (1) first and last name, telephone number, complete mailing address, email address will be disqualified and all such entries/ballots made or received by such person during the Contest Period will be disqualified and no Hourly Instant Win Prizes or Grand Prize will be awarded to such person. Proof of transmission (screenshots or captures etc) or attempted transmission or of submission or of attempted submission of any communication, does not constitute proof of delivery or receipt by the Contest Computer. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. The Sponsor will not be responsible for late, lost, illegible, falsified, damaged, misdirected, mutilated, garbled or incomplete entries, which will be void. All entries become the property of the Sponsor upon receipt and none will be returned.
5. SHARE WITH FRIENDS: If you wish to share this Contest with your friends, then select the “Share this” button once you have completed a Game. Select the medium that you wish to share this Contest with your friend(s). Enter your friend(s) e-mail addresses and/or select your friend(s) within your profile. Upon receipt of your “Share” list, your friends will be sent an e-mail and/or invite. Make sure you have your friend’s permission before sending a notice and that they meet the eligibility requirements as defined in Rule 1 above, including without limitation, age and residency requirements. E-mail addresses of third parties submitted through the “Share this” will be used only to properly administer the Contest and will not otherwise be stored by the Sponsor.
6. SHARE WITH FRIENDS: “Friends” are those with whom you have a personal/professional relationship; are friends and who are eligible to enter the Contest. E-mail addresses of friends will be used to send an e-mail or invite using the referring entrant’s e-mail address or profile notifying them of the Contest. Prior to using the Share feature, you must have the permission to use/send your friends an invite for the purpose of sharing with your friend(s) or inviting your friend(s) to participate in this Contest. You must not use the Share feature for any other use other than to share with friends or to invite friends to participate in the Contest. Without limitation, you must not use the feature to send e-mails: (i) to strangers; (ii) multiple referrals to the same friend; (iii) unsolicited e-mail; and (iv) “spam”.
7. PRIZES:: There will be a total of one thousand, seven hundred and twenty-two (1,722) Prizes available to be won during the Contest Period with a total of one thousand, seven hundred and twelve (1,712) Hourly Instant Win prizes (each a “Hourly Instant Win Prize”) available to be won and ten (10) Grand Prizes (each a “Grand Prize”) available to be won. An entrant can win one (1) Hourly Instant Win Prize and one (1) Grand Prize during the Contest Period.
   1. HOURLY INSTANT WIN PRIZES: A total of one thousand, seven hundred and twelve (1,712) Hourly Instant Win Prizes are available to be won during the Contest Period with a total of twenty (24) Hourly Instant Win Prizes available to be won each Day (one (1) Hourly Instant Win Prizes available per Hour per Day) during the Contest Period except for the first Day (February 2, 2013) and the last Day (April 14, 2013) where sixteen (16) Hourly Instant Win Prizes are available to be won each Day. Each Hourly Instant Win Prize consists of a Hamilton Beach® Single Serve Blender model #51107C. Approximate retail value of each Hourly Instant Win Prize is $20.00 CDN. Prior to the commencement of the Contest, there will be one (1) randomly selected Hourly Instant Win Prize time selected per Hour per Day during the Contest Period. The first entrant, who enters within four (4) minutes of the pre-selected Hourly Instant Win Prize time and successfully finds and matches a pair of Blenders cards within the Game’s applicable time period, will be directed to a webpage which identifies them as the potential Hourly Instant Win Prize winner. However, if no entrant completes an entry within four (4) minutes of the pre-selected Hourly Instant Win Prize time and successfully completes the Game by finding and matching a pair of Blender cards within the Game’s applicable time period, the Hourly Instant Win Prize will not be awarded. Odds of winning an Hourly Instant Win Prize will depend on the time of entry and successful completion of the Game, within the Game’s applicable time period. Any Hourly Instant Win Prizes unclaimed after the Contest Closing Date will not be awarded. As Hourly Instant Win Prizes are redeemed, the number of Hourly Instant Win Prizes available will be reduced accordingly.
   2. GRAND PRIZES: There will be ten (10) Grand Prizes available to be won amongst all eligible entries and Bonus entries received during the Contest Period. Each Grand Prize consists of a Hamilton Beach®5 Burner Outdoor Grill Station™, model # 84241C (propane). Approximate retail value of each Grand Prize is $600.00 CDN. Any assembly required will be at the winner’s sole responsibility and expense. Grand Prizes will be delivered to each winner’s front door.

   The approximate retail value of each Prize is that stated by the supplier of the Prize one hundred and twenty (120) days prior to the start of the Contest. Prizes must be accepted as awarded without substitution and are not transferable or for resale and have no cash surrender value. The Sponsor reserves the right, in the event that any Prize or any component of a Prize cannot be awarded as described for any reason, to substitute a similar Prize or component of equal or greater value without liability. Each winner shall not be entitled to receive, in cash, certificate or otherwise, the balance of any amount representing the difference of the approximate prize value and actual cost.

8. GRAND PRIZE DRAWS: Random draws will be conducted from all eligible entries received including any Bonus entries by the Contest Closing Date on or about April 23, 2013 at 10:00 AM (ET) in Oakville, Ontario. Odds of winning a Grand Prize will depend on the total number of eligible entries including any Bonus entries received by the Contest Closing Date. Each selected entrant will be contacted by mail or e-mail at the address or e-mail address which the selected entered on his/her registration form within five (5) business days from the Draw Date. If any selected entrant does not reply to the notification within five (5) business days, his/her entry will be disqualified without any liability to the Sponsor, and another entrant will be randomly selected from the remaining eligible entries including all eligible Bonus entries and the process above will be repeated until such time as contact is made with a selected entrant or until there are no more eligible entrants available. Each selected entrant must complete and return the Form as defined in Rule 10 below including correctly answering without assistance of any kind, whether mechanical or otherwise, the mathematical skill-testing question set out on the Form. In the event that a selected entrant incorrectly answers the mathematical skill-testing question, or does not return a completed Form within the indicated time frame, or if any e-mail is returned as undeliverable or the selected entrant does not respond to any mail or e-mail notification, he/she will be disqualified without any liability to Sponsor and another entrant will be randomly selected and the above process will be repeated until such time as there are ten (10) Grand Prize winners or no more eligible entries are available.
9. HOW TO CLAIM A HOURLY INSTANT WIN PRIZE: By accepting delivery of an Hourly Instant Win Prize, each entrant confirms compliance with the Official Rules, acknowledges that the Hourly Instant Win Prize must be accepted as awarded and cannot be substituted except as permitted herein or transferred and has no cash surrender value, consent to the use of his/her name, address and/or photographs, without further remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to the Contest, and release the Sponsor, Hamilton Beach® Brands Canada, Inc., their affiliated and related companies, advertising and promotional agencies, the independent contest organization and their respective shareholders, directors, officers, employees and agents from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the awarding and use of an Hourly Instant Win Prize or the Contest. If any Hourly Instant Win Prize is returned as undeliverable, Hourly Instant Win winners will forfeit their Hourly Instant Win Prize and the Hourly Instant Win Prize will not be awarded.
10. RELEASE FORM: Prior to being declared a winner and receiving a Grand Prize, each selected Grand Prize entrant will be required to complete and return the Sponsor’s Declaration of Compliance and Release of Liability and Publicity Release Form (the “Form”). By completing and returning the Form, and accepting a Grand Prize, the winner confirms compliance with the Official Rules, acknowledges that the Grand Prize must be accepted as awarded and cannot be substituted or transferred and has no cash surrender value, releases the Sponsor, Hamilton Beach® Brands Canada, Inc., their affiliated and related companies, advertising and promotional agencies, the independent contest organization and their respective shareholders, directors, officers, employees and agents from and against all liability in connection with the Contest and the awarding and use of the Prize, and consents to the use of his/her name, address (city and province) voice, video, image and/or photographs, without further remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to this Contest in any media whatsoever (including the internet and any forms of social media) for perpetuity. At the Sponsor’s sole discretion selected entrants may be required to provide to the Sponsor a copy of photo identification showing his/her valid address. Selected entrants agree to cooperate in any investigations by the Sponsor to confirm his/her eligibility and to help ensure that the use of such selected winner’s information use in advertising or publicity for the Contest will not bring the Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavourably on the Contest or the Sponsor as determined by the Sponsor in its sole discretion. The Form must be returned within the time period specified on the Form or the Prize will be forfeited. Upon receipt of the Form within the indicated time frame, the Sponsor or a designated agent will deliver the Grand Prize to the Winner within 45 days of receipt of the Form. No correspondence will be entered into except with the winners.
11. CONDITIONS OF ENTRY: By entering the Contest, entrants and/or selected entrants and/or potential winners (i) acknowledge compliance with these Official Rules including all eligibility requirements, and (ii) agree to be bound by the Official Rules and by the decisions of the independent contest organization and/or Sponsor, made in its sole discretion, which shall be final and binding in all matters relating to this Contest. Entrants and/or potential winners who have not complied with these Official Rules will be disqualified.
12. If a dispute arises regarding who submitted an on-line entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail address provided at the time of entry. An “authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
13. GENERAL: The Sponsor and the independent contest organization do not assume any responsibility and are not responsible for: (i) the incorrect or inaccurate capture of registration information; (ii) entries which fail to comply with the Official Rules; (iii) any loss, damage, or claims caused by the awarded Prize or the Contest itself; (iv) any failure of the website during the Contest Period, including any problems, human or technical error, printing errors, lost, delayed, or garbled data or transmissions, omissions, interruption, deletion, defect or failures of any telephone or computer lines, or technical malfunction of any computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail; or on-line registration to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer or other electronic devices related to or resulting from downloading any material in the Contest, all of which may affect a person’s ability to participate in the Contest; or (v) any other matter whatsoever. Registration/Entry material/data that have been tampered with or altered are void. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants and the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, (i) the laws of the Province of Québec and construed in accordance with the Federal, Provincial, and Municipal laws applicable therein in respect of residents of the Province of Québec, and (ii) the laws of the Province of Ontario and construed in accordance with the Federal, Provincial, and Municipal laws applicable therein in respect of residents of the other Canadian provinces and territories, without regard to conflicts of law principles. Any attempt by a participant or any other individual to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. PRIZES ARE AWARDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES WHATSOEVER BY SPONSOR OR THE PRIZE PROVIDER, INCLUDING WITHOUT LIMITATION ANY WARRANTY AS TO MERCHANTABILITY OR FITNESS FOR INTENDED PURPOSE.
14. In the event, due to a printing, production and/or programming or other error, or for any reason whatsoever more than the advertised numbers of Hourly Instant Win Prizes are claimed, the Sponsor shall cease to award the Hourly Instant Win Prizes and there will be a random draw on April 19, 2013 at 2:00 PM (ET) in Oakville, ON amongst all eligible Hourly Instant Win Prize claimants from the time that the awarding of Hourly Instant Win Prizes was ceased to award the correct number of Hourly Instant Win Prizes. In no event will the Sponsor be responsible or liable for more than the stated number of Hourly Instant Win Prizes in Rule #7a. Inclusion in such drawing shall be the sole and exclusive remedy in such circumstances for any eligible person who has submitted an entry into the Contest.
15. The Sponsor reserves the right, with the consent of the Régie des alcools, des courses et des jeux, to terminate or suspend this Contest or to amend the Official Rules at any time and in any way, without prior notice and without any liability whatsoever. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned, such as tampering or infection by computer virus, the Sponsor reserves the right, with the consent of the Régie des alcools, des courses et des jeux, to cancel the Contest and conduct the random draws from all previously eligible entries received by the date of cancellation. Sponsor has no obligation with respect to printing, distribution production or other errors.
16. Any litigation respecting the conduct or organization of a publicity contest in Québec may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie des alcools, des courses et des jeux only for the purpose of helping the parties reach a settlement.
17. In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Contest registration form, French version of these Rules, and/or point of sale, television, print or online advertising; the terms and conditions of these English Rules shall prevail, govern and control.
18. All intellectual property, including but not limited to trade-marks, trade names, designs, promotional materials, web pages, source code, drawings, illustrations, logos, slogans and representations are owned by either Sponsor and/or their respective affiliates or authorized licensors. All rights are reserved. Unauthorized copying or use of any copyrighted materials or intellectual property without the express written consent of its owner is strictly prohibited.
19. CONSENT TO USE PERSONAL INFORMATION: The Sponsor respects your right to privacy. If you do not opt-in to allow future communications from Hain-Celestial Canada on the registration form, the information you provide will only be used to conduct the Contest.
